1. Code of Conduct (hereinafter referred to as the “Code”) of Martonas UAB (hereinafter referred to as the “Company”) defines the principles of operation and conduct and the norms of professional ethics, that shall be respected by the employees of the Company (hereinafter referred to as the “Employees”) in performing their duties..
2. The Code is based on the Company’s vision and core values, helps to uphold them and shows how the Company’s employees should work in a team, with their business partners, customers and other members of the public. The provisions of this Code are binding on all employees of the Company.
3. The objectives of the Code:
3.1. To define the norms and rules of conduct;
3.2. To inform and educate the employees on the issues of business ethics and conduct in business environment;
3.3. To raise interest in work;
3.4. To develop responsibility of the employees;
3.5. To maintain a good, motivating and attractive working environment in the Company;
3.6. To promote relationships based on respect and trust encouraging prompt resolution of issues that may arise in the Company;
3.7. To protect the employees from conflict situations and unethical behavior by defining cases of intolerable behavior.
Basic principles of the Code of Conduct
4. The norms of business ethics and conduct are based on the following principles:
To act in good faith and with respect to the Company and its employees;
To keep the promises made;
Not to engage in fraud, deception;
Not to use working time, material and financial resources for one’s personal needs and the needs of one’s close ones;
To maintain the work environment that is safe, transparent, where people are respected and not persecuted;
To promote the best use and development of employees’ skills as well as equal opportunities in the professional field;
4.2. Respect for the law, human beings and their rights:
The employees must treat other persons equally and their language, actions or proposed solutions shall not discriminate against individuals or groups based on age, sex, social status, race, religion, sexual orientation, color, nationality, political opinion, physical disability or marital status and take all measures necessary to prevent any observed discrimination;
To behave in a respectful, patient manner and in good faith, regardless of personal qualities, property or social status;
Not to violate the laws and regulations of the Republic of Lithuania, not to ignore and defend human rights in cases of obvious violations;
4.3. Responsibilities and accountability::
To understand the Company’s obligations to its shareholders, customers, employees and business partners;
To perform the assigned duties diligently, efficiently, by fully using one’s abilities, to understand the importance of one’s duties and responsibilities;
To base one’s professional activity on personal responsibility for its consequences, potential benefits and harms, short-term or long-term consequences of the decisions or activity;
To take responsibility for one’s actions without hiding behind team decisions;
To take a part of the responsibility for a collegial decision;
4.4. Exemplary conduct:
To set an example in appearance, language and behavior, following generally accepted rules of conduct;
To be tolerant and helpful, respectful of co-workers and others, and resolve work-related conflict situations in a peaceful and courteous manner, and thereby continually care about the Company’s image;
To perform one’s duties in a timely and competent manner;
To always act in a professional and humane manner;
To use one’s working time efficiently;
To be constantly developing and improving one’s skills;
To accept and correct one’s mistakes;
Not to despise one’s colleagues, subordinates, managers, and not to offend anyone.

4.5. Impartiality, objectivity and justice:
To evaluate people in their work-related activities according to their competence, achievements and skills;
To be objective in one’s activities, to make decisions based on clear evaluation criteria, avoiding personal ambitions, emotions, taking into account the opinions of one’s opponents as well as experts and other objective factors;
To appreciate productivity, initiative, cooperation, compromising and openness.
The norms of ethics and conduct
Relationships with customers. The key to the company’s success is customer service quality and operational efficiency. When communicating with the customers, the employees:
Comply with the requirements of the rules of the Company’s customer service;
Collaborate seeking partnership and mutual benefit;
Provide correct information about the products and services provided, as well as their prices;
Treat all customers equally;
Base their relationships on mutual respect and tolerance;
Leave no unresolved and incomplete issues with the customer.
Relationships within the Company:
The relations between the Company’s employees must be based on mutual respect, integrity and trust;
The employees do not violate each other’s rights, avoid personal insult, humiliation, gossip, slander, reputational damage, and display of negative emotions;
Communicate politely with their colleagues and team members;
Do not tolerate insulting or humiliating another person;
While performing the assigned tasks and instructions, the employees provide the information to their colleagues from their own and other departments that needs be provided according to their functions and do not interfere with their work;
The employees are not penalized for unintentional mistakes, however, the Company does not tolerate malicious or cunning behavior or repeated mistakes;
The leaders treat their subordinates respectfully, while the instructions, orders, and remarks about the work flaws and errors of their subordinates are correctly expressed in an effort to create a productive and friendly environment within the team of subordinates, to prevent conflicts, resolve causes of disagreement, and objectively evaluate the traits and achievements of the subordinates.
Relationship with the competitors:
The Company favours free business and competition and does not try to prevent other companies from competing freely with them;
The Company does not publicly comment on the activities of its competitors;
The Company strives to compete fairly, in accordance with the applicable laws and principles of business ethics. The Company enhances its competitiveness through more efficient management, increased productivity and lower costs.
Confidential information includes proprietary, financial and technical information, as well as information about the shareholders, employees and customers. Ensuring the protection of company’s confidential information is extremely important. The employees must know what information is kept confidential in the company. The employees have a signed obligation not to make the information that they are entrusted to handle (use) during their work public, not to disclose, lose or transfer it to any person who is not authorized to know it outside the organisation;
The employees respect the user’s right to privacy and protect confidential information provided by the customers even after the end of their contractual relationship with the customer. Neither shall this information be made public or used to the detriment of customers or third parties (unless such rights have been granted by the customers themselves or are required by the laws of the Republic of Lithuania);
The employees cannot use the confidential information for unauthorized purposes. They must also take steps to help protect sensitive information against loss, theft, unauthorized use or modification;
The confidential information should be disclosed within the company only when necessary;
The employees leaving the company must be reminded of their responsibility to continue to protect and not to disclose the confidential information they have acquired while working.
The company hopes that new employees coming from other companies will not disclose the confidential information of the latter.
Political and social activities:
The employees may participate in political and social activities, stand as candidates for election, run an election campaign, raise funds or otherwise contribute to the activities of an organisation or a party, but these activities are clearly separated from their professional activities and responsibilities and do not interfere with their direct duties in the Company;
The employees must ensure that their public political remarks and opinions are understood as their personal views, not those of the Company;
The employees of the Company inform their executives about their participation or intentions to take part in the elected bodies of political parties, government and municipalities.
Ensuring the effectiveness of the Code of Conduct
The compliance with the Code of Conduct is based on the consciousness and conscience of the employees of the Company. The company fully supports its employees, who respect the provisions of the Code in good faith, especially when facing external pressure to violate them.
If employees become aware of violations or suspect non-compliance with the Company’s operating principles and a code of ethics, they should contact their immediate supervisor for advice.
The violation of the Code may result in employee penalties, including dismissal.
